By accessing or using the Owivo platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Owivo provides an AI-powered chatbot platform that enables businesses to create automated chat assistants for their websites. The Service includes:

AI chatbot creation and customization
Website widget integration
Lead capture and management
Conversation analytics and insights
Calendar booking integration
WhatsApp Business integration (where available)
Human agent handoff capabilities

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Keep your password secure and confidential
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized access

4. Subscription and Payments

4.1 Billing

Some features of the Service require a paid subscription. By subscribing, you agree to pay the applicable fees. All fees are exclusive of taxes unless stated otherwise.

4.2 Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You can cancel your subscription at any time from your account settings.

4.3 Refunds

Refunds are handled on a case-by-case basis. Contact us at info@owivo.com for refund requests. We may offer prorated refunds for annual subscriptions cancelled within the first 14 days.

5. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws or regulations
Infringe on intellectual property rights of others
Transmit spam, malware, or malicious content
Harass, abuse, or harm others
Collect user data without proper consent
Impersonate any person or entity
Interfere with or disrupt the Service
Attempt to gain unauthorized access to systems
Use the Service for any illegal or fraudulent purpose
Create chatbots that spread misinformation or harmful content

6. Content and Data

6.1 Your Content

You retain ownership of content you upload to the Service. By uploading content, you grant us a license to use, store, and process it to provide the Service.

6.2 Chatbot Conversations

You are responsible for how your chatbot interacts with visitors. Ensure your chatbot complies with applicable laws, including data protection regulations. You must inform visitors that they are interacting with an AI chatbot.

6.3 Data Processing

When you use the Service to collect data from visitors, you act as the data controller. Owivo acts as a data processor. You must have a lawful basis for collecting visitor data and must provide appropriate privacy notices.

7. AI and Chatbot Limitations

The AI powering our chatbots may occasionally produce inaccurate, incomplete, or inappropriate responses. You acknowledge that:

AI responses should be reviewed and are not guaranteed to be accurate
The Service is not intended for critical decision-making without human oversight
You are responsible for monitoring and moderating your chatbot's responses
We are not liable for actions taken based on AI-generated content

8. Third-Party Integrations

The Service may integrate with third-party services (Google Calendar, WhatsApp, Stripe, etc.). Your use of these integrations is subject to the respective third-party terms. We are not responsible for the availability or functionality of third-party services.

9. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Owivo and protected by intellectual property laws. Our trademarks may not be used without prior written consent.

10. Limitation of Liability

To the maximum extent permitted by law, Owivo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

12. Indemnification

You agree to indemnify and hold harmless Owivo from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your content, or your violation of these Terms.

13. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will provide reasonable notice when possible.

14. Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Service. Your continued use after changes constitutes acceptance of the new Terms.

16. Governing Law

These Terms are governed by the laws of Belgium. Any disputes shall be resolved in the courts of Antwerpen, Belgium, unless otherwise required by applicable consumer protection laws.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
